End User License Agreement Ski-Ride Productions is willing to license our Publications to you only upon the condition that you accept all of the terms and conditions contained in this End User License Agreement (hereafter called the ‘Agreement’). By downloading and/or installing our Publications, you accept the terms of this Agreement (if you do NOT accept these terms, do not download or install our Publications). All rights reserved. Our Publications are licensed, not sold: they may not be sold, resold, hired out or transferred and no part of our Publications may be reproduced or transmitted in any form or by any means without the prior written consent of Ski-Ride Productions.
Definitions ‘Publication(s)’ as identified above, means all content in all files in binary form, any other machine-readable materials (including, but not limited to, libraries, source files, header files, and data files), any updates or error corrections provided by Ski-Ride Productions, and any Internet-based or printed documentation provided to you by Ski-Ride Productions under this Agreement.
Term This Agreement is effective until it is terminated. You may terminate this Agreement at any time by deleting all of your copies of our Publications. This Agreement will terminate immediately without further notice from Ski-Ride Productions if you fail to comply with any provision of this Agreement.
License to Use Subject to the terms and conditions of this Agreement, Ski-Ride Productions grants you a non-exclusive, non-transferable, limited license to use our Publications complete and unmodified for the sole purpose of reading the content they contain. You are permitted to file-share single copies of Ski-Ride TXTguides via email, infrared or Bluetooth. You are not permitted to broadcast or to distribute Ski-Ride TXTguides from any website or for any commercial purpose.
Restrictions All content contained in our Publications is copyrighted. Software is confidential and copyrighted. Title to software and all associated intellectual property rights is retained by the software platform and application creators and/or their licensors. You may not modify, decompile, or reverse engineer software. No right, title or interest in or to any trademark, logo or trade name of Ski-Ride Productions, or the software platform and application creators and their licensors, is granted under this Agreement.
Advertisements/Promotions Ski-Ride Productions reserve the right to run advertisements and promotions within the content of our publications. Under this Agreement, you agree that Ski-Ride Productions has the right to run such advertisements and promotions without any compensation to you. Any dealings or transactions between you and any third parties with regard to such advertisements and/or promotions, and any other terms, conditions, warranties or representations associated with such dealings or transactions, are solely between you and such third parties. Ski-Ride Productions shall not be responsible or liable for any part of any such promotions, dealings or transactions.
Limited Warranty Our Publications and the software platform applications that they run on are provided ‘AS IS’. Your exclusive remedy and Ski-Ride Productions' entire liability under this limited warranty will be at Ski-Ride Productions' discretion to permit replacement downloads and/or to refund any fee you have paid to Ski-Ride Productions for any subscription to our services.
Limitation of Liability To the extent not prohibited by law, in no event will Ski-Ride Productions be liable for any lost revenue, profit or data, or for consequential, incidental or punitive damages, however caused, arising out of or related to the use of or inability to use our Publications, even if Ski-Ride Productions has been advised of the possibility of such damages. In no event will Ski-Ride Productions' liability to you, whether in contract, tort (including negligence), or otherwise, exceed the amount paid by you for any subscription under this Agreement.
Termination You may terminate this Agreement at any time by deleting all of your copies of our Publications. This Agreement will terminate immediately without further notice from Ski-Ride Productions if you fail to comply with any provision of this Agreement. Upon Termination, you must delete all of your copies of our Publications.
Severability If any provision of this Agreement is held to be unenforceable, this Agreement will remain in effect with the provision omitted, unless omission would frustrate the intent of the parties, in which case this Agreement will terminate immediately.
Governing Law Any action related to this Agreement will be governed by English law. No choice of law rules of any other jurisdiction will apply.
